This End-User License Agreement ("EULA") is a legal agreement between you (the "Customer") and Ecomate S.R.L. ("Provider"), whose registered address is Via Durini 27, 20122 - Milan, Italy. The EULA governs your access to and use of the Ecomate ESG platform (the "Service"). By accessing or using the Service, you agree to be bound by the terms of this EULA.
Ecomate S.R.L. grants the Customer a non-exclusive, non-transferable, and limited right to access and use the Service for business purposes, subject to the subscription terms and conditions outlined in this EULA. This license is granted based on the subscription plan selected by the Customer and is limited to the authorized number of users specified in that plan.
3.1 Subscription Term
The Service is provided on an annual subscription basis. The subscription will automatically renew unless either party provides notice of cancellation in accordance with Section 10 of this EULA.
3.2 Fees and Payment
The Customer agrees to pay the subscription fees as outlined during the account registration or as agreed upon in a separate written agreement. All fees are non-refundable unless otherwise stated.
3.3 Late Payments
Failure to make timely payments may result in suspension or termination of access to the Service.
The terms of the Service, including uptime commitments and support details, are outlined in the Service Level Agreement (SLA), available at ecomate.eu/it/sla. The Customer agrees to the terms of the SLA as part of this EULA.
5.1 The Customer is responsible for maintaining the confidentiality of login credentials and ensuring that users comply with this EULA.

6.1 GDPR Compliance
Ecomate S.R.L. complies with the General Data Protection Regulation (GDPR). Customer data is stored on servers located in Germany, hosted by Google Cloud Platform (GCP). The Provider will process personal data only in accordance with the Customer's instructions, as outlined in the Data Processing Agreement (DPA) available upon request.
6.2 Data Security
Ecomate S.R.L. takes appropriate measures to ensure the security of Customer data. However, the Customer is responsible for maintaining backups of their own data.
All intellectual property rights, including copyrights and trademarks, in the Service remain the exclusive property of Ecomate S.R.L. This EULA does not grant the Customer any rights to the intellectual property except as necessary for using the Service.
The Service may integrate with third-party platforms and tools. Ecomate S.R.L. is not responsible for the availability or performance of third-party services, and the Customer's use of such integrations may be governed by separate agreements with those third-party providers.
To the maximum extent permitted by applicable law, Ecomate S.R.L. is not liable for any indirect, incidental, or consequential damages arising out of the use or inability to use the Service. The total liability of Ecomate S.R.L. for any claim is limited to the amount paid by the Customer for the Service during the 12 months preceding the claim.
10.1 Termination by Customer
The Customer may terminate the subscription by providing 30/60 days’ written notice prior to the renewal date.
10.2 Termination by Ecomate S.R.L.
Ecomate S.R.L. reserves the right to terminate the Customer's access to the Service if there is a breach of this EULA.
This EULA is governed by the laws of Italy. Any disputes arising from this EULA shall be resolved through amicable negotiations. If disputes cannot be resolved, they will be submitted to the exclusive jurisdiction of the courts of Milan, Italy.
